Employer Terms and Conditions of Use

IMPORTANT: Please read these Terms and Conditions carefully before using the events-jobs.co.uk website (the "Site") as an Employer. By registering an Employer account, posting a Job Ad, or otherwise accessing the Site in Your capacity as an Employer, You agree to be bound by these Terms and Conditions. If You do not agree to these Terms, You must not use the Site. 1. Definitions and Interpretation In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings: 1.1 "We", "Us", "Our" means events-jobs.co.uk and its operators. 1.2 "You", "Your" means any individual or organisation accessing or using the Site in the capacity of an Employer, including any employee, officer, agent, or representative acting on behalf of an Employer. 1.3 "Site" means the website located at events-jobs.co.uk and all associated pages, features, and services. 1.4 "Employer" means any individual, company, or organisation that registers an account on the Site for the purpose of posting Job Ads, making information available regarding employment opportunities, seeking Candidates, or otherwise obtaining information related to hiring or human resources. 1.5 "Candidate" or "Job Seeker" means any individual who uses the Site to search for or apply for employment opportunities. 1.6 "Job Ad" means any advertisement, posting, or listing for an employment opportunity, hiring event, or general employer information submitted by You for publication on the Site. 1.7 "User Content" means any data, text, images, video, or other materials that You submit, post, display, or otherwise make available on or through the Site, including Job Ads, Company Page content, screener questions, and messages. 1.8 "Company Page" means any page on the Site that displays information about You or Your organisation, whether created by You or automatically generated by Us. 1.9 "Personal Data" has the meaning given to it in the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. 2. Acceptance of Terms 2.1 By accessing or using the Site in any capacity as an Employer, You confirm that You have read, understood, and agree to be bound by these Terms and Conditions. 2.2 If You are accessing or using the Site on behalf of an organisation, You represent and warrant that You have the authority to bind that organisation to these Terms. In such circumstances, references to "You" and "Your" shall include both You personally and the organisation on whose behalf You act. 2.3 We reserve the right to update or amend these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Site following any such changes constitutes Your acceptance of the revised Terms. 2.4 If You do not agree to any amendment, You must stop using the Site immediately and, if applicable, request closure of Your account. 3. Role of events-jobs.co.uk 3.1 The Site operates as an online jobs board for the events industry and related sectors. We act solely as an intermediary platform connecting Employers with Candidates. 3.2 We do not act as an employment agency, employment business, recruitment agency, or agent for any Employer or Candidate. We expressly reject delegation to Us of any decision-making authority by any User. 3.3 We offer the Site to You strictly for Your consideration and Your own decision-making within Your recruitment and hiring processes. Only You, and not Us, make any decisions in these processes, including selecting qualifications, evaluating candidates, advancing or not advancing any candidate, and hiring or not hiring any applicant. 3.4 We are not responsible for, and disclaim all liability in respect of, any actions taken or not taken by You based in whole or in part on any information You submit or receive in connection with Your use of the Site. 4. Employer Accounts 4.1 Your Responsibilities. You are solely responsible for Your account, Your use of the Site and any tools offered on it, Your decisions regarding job descriptions, job requirements, the content of Your Job Ads and any screener questions, whom You interview or hire, and compliance with all applicable laws. This includes, without limitation, compliance with the Equality Act 2010, data protection legislation, and all relevant employment, wage, and anti-discrimination laws. 4.2 Account Security. You are responsible for maintaining the confidentiality of Your login credentials and for all activity that occurs under Your account. We are not responsible for, and disclaim all liability in respect of, any unauthorised use of Your account credentials by a third party. You must notify Us immediately if You become aware of any unauthorised access to or use of Your account. 4.3 Account Data. When You create an account on behalf of an Employer, the account belongs to the Employer. You acknowledge that any information You provide through the account, including the actions You take and when You take them, will be visible to the Employer. You may request that We disable an account at any time by contacting Us using the details in clause 17. 4.4 Linked Accounts. Where an account owner (an "Admin") invites other users to the same account, each user may have access to account data, including Candidate Personal Data, depending on the access level or role assigned by the Admin. By adding a user, You confirm Your authorisation to share such data and access. You agree to indemnify and hold Us harmless from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with the sharing of data, access to Your account, or any purchases made under Your account by linked users. 4.5 Business Use Only. Your Employer account is for business use only and must not be used for personal purposes. 4.6 Email Communications. By registering for an Employer account, You agree to receive email communications regarding account activity, including mandatory service notifications. 4.7 Identity Verification. When You create an Employer account, We may require You to verify Your identity. You agree to cooperate with any verification process We may reasonably require. 5. Your Job Ads and Content 5.1 Responsibility for Content. You are solely responsible for all User Content You post on or submit through the Site, including Job Ads, screener questions, Company Page content, and any messages sent to Candidates. You must ensure that all such content is accurate, not misleading, non-discriminatory, and complies with all applicable laws, including the Equality Act 2010, data protection legislation, and all relevant employment and advertising standards. 5.2 Accuracy and Updates. If You close, fill, or materially change any position advertised in a Job Ad, You agree to promptly update or remove the relevant Job Ad on the Site, or otherwise notify Us so that We may do so. 5.3 Reasonable Adjustments. You are responsible for ensuring that Your application process is accessible and for providing reasonable adjustments for individuals with disabilities where required by the Equality Act 2010. Where required by law, You must clearly indicate in Your Job Ad that reasonable adjustments are available and provide contact information for Candidates who wish to request such adjustments. 5.4 Job Ad Visibility and Removal. We may reject, remove, or limit the visibility of any Job Ad at any time and at Our sole discretion, including where a Job Ad does not comply with Our policies, applicable law, or these Terms. We are not obligated to provide reasons for any such decision, and You remain responsible for ensuring compliance with all applicable laws regardless of any action We take. 5.5 Labels. We may add labels or tags to Job Ads (such as "Sponsored", "Promoted", "Urgent", or "Ad") at Our discretion. We reserve the right to add, change, or remove labels at any time. 5.6 Salary Information. We may display an estimate of the compensation associated with any Job Ad. If You do not wish an estimate to be shown, You must provide Us with the actual compensation details for the role. 5.7 Suggestions and Recommendations. Any suggestions, information, templates, or recommendations We provide (including competitive salary data, estimated application volumes, or job description templates) are provided as a courtesy only, without warranty, and do not constitute a guarantee of future performance. You use such information at Your own discretion and are solely responsible for Your use of the Site, job descriptions, legal compliance, and hiring decisions. 6. Company Pages 6.1 When You post a Job Ad, We may automatically create a Company Page for You displaying publicly available information about Your organisation. You authorise Us to create and maintain this page on Your behalf. 6.2 You are solely responsible for any content You add to or edit on Your Company Page, including photographs, videos, descriptions, and links to third-party websites. 6.3 Information displayed on Company Pages is presented for informational and promotional purposes only, is subject to change, and may be gathered from or generated by third-party sources. We do not warrant the accuracy or completeness of any such information. 6.4 We reserve the right to moderate, edit, or remove User Content on Company Pages at Our sole discretion, and We apply the same standard of review to all Employers without preferential treatment. 7. Candidate Management 7.1 Your Screening Process. Whether You use the Site directly or any applicant tracking system, You are solely responsible for the content of Your emails, application forms, screener questions, any messages You send to Candidates, and Your entire application and screening process. You are responsible for ensuring that Your selection criteria are job-related and consistent with business necessity, and that You do not discriminate against any individual on the basis of any protected characteristic under the Equality Act 2010 or any other applicable law. 7.2 Record Retention. You are responsible for Your own compliance with any applicable record-retention requirements under UK law. We are not responsible for maintaining or storing employment records, application materials, or data on Your behalf. Where We allow You to delete Candidate or application data from Your dashboard, such deletion may be irreversible. 7.3 No Guarantee of Delivery. We do not guarantee the delivery of emails, applications, or other communications, or the error-free transmission or storage of data. It is Your responsibility to check Your account dashboard regularly for applications and information. Any notifications We may provide regarding applications are a courtesy only and should not be relied upon. 7.4 Contact Information. Applications submitted through the Site are directed to the contact information You provide. We cannot verify this information. If You provide incorrect contact information, You are responsible for correcting it and for taking any necessary steps to protect Candidates' privacy. 7.5 Verification. As part of Our efforts to combat fraud and spam, We may require Candidates to verify their email address or telephone number before applying to Job Ads. However, verification is not guaranteed in all cases. You are responsible for Your use of any software or systems that may reject applications from unverified sources. 8. Independent Judgment and Decision-Making 8.1 You agree, as a condition of using the Site, that You will not use the Site, in whole or in part, as a substitute for Your own independent judgment or decision-making at any stage of the recruitment process. 8.2 You are solely responsible for Your account, Your use of the Site and any tools offered on it, and all decisions You make regarding Your recruitment, hiring, and employment-related activities. 8.3 We are not responsible for, and disclaim all liability in respect of, any actions taken or not taken by You based in whole or in part on any information You submit or receive in connection with Your use of the Site. 9. Candidate Volume and Quality 9.1 We do not guarantee the number, quality, suitability, or qualifications of Candidates who may respond to any Job Ad posted on the Site. The performance of a Job Ad, including the number of applications received, may vary based on a range of factors including market conditions, job requirements, location, compensation, and candidate availability. 9.2 We make no representations or warranties that posting a Job Ad will result in applications, interviews, or successful hires. 9.3 You are solely responsible for evaluating Candidates and determining whether any applicant is suitable for any role. 10. Usage Limits 10.1 To maintain the quality of the Site and to reduce fraud and spam, We may, in Our sole discretion, impose limits on Your use of the Site. 10.2 The use of any automation, scripting, bots, or other automated tools to interact with the Site is strictly prohibited, unless such tools are expressly provided or authorised by Us. 10.3 Any breach of the restrictions in this clause may result in the immediate suspension or termination of Your account. 11. Limitation of Liability 11.1 To the fullest extent permitted by law, We accept no liability whatsoever for any loss, damage, cost, expense, or claim (whether direct, indirect, consequential, special, or otherwise) arising out of or in connection with: (a) any Job Ad You post on the Site or any consequences arising from such posting; (b) the quality, suitability, number, or qualifications of any Candidates who respond or fail to respond to any Job Ad; (c) any decision by any Candidate to apply, not apply, accept, or reject any offer of employment; (d) any reliance You place on information, suggestions, templates, or recommendations provided by or through the Site; (e) any dispute between You and any Candidate, any third party, or any other third party; (f) any acts, omissions, conduct, or representations of any Candidate or any third party; (g) any failure to deliver emails, applications, or other communications; (h) any inaccuracy, error, or omission in any information displayed on the Site, including on Company Pages; (i) any interruption, suspension, or discontinuation of the Site or any of its features; (j) any unauthorised access to or alteration of Your account, data, or transmissions; or (k) any actions taken or not taken by You based in whole or in part on any information You submit or receive in connection with Your use of the Site. 11.2 Nothing in these Terms shall exclude or limit Our liability for death or personal injury caused by Our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law. 11.3 Our total aggregate liability to You under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by You to Us in the twelve (12) months immediately preceding the event giving rise to the liability, or one hundred pounds sterling (£100), whichever is greater. 12. Your Obligations and Warranties 12.1 You warrant and represent that: (a) all information You provide to Us, including in Your Job Ads and Company Page content, is accurate, truthful, and not misleading; (b) Your Job Ads and User Content do not contain any material that is defamatory, obscene, offensive, discriminatory, or in breach of any third party's intellectual property rights or rights of confidentiality; (c) Your Job Ads comply with all applicable laws, including the Equality Act 2010, data protection legislation, and all relevant employment, advertising, and anti-discrimination laws; (d) You will use the Site solely for the purpose of legitimate recruitment, hiring, and human resources activities; (e) You will not use the Site to harvest data, distribute unsolicited communications, or for any unlawful purpose; and (f) You have the authority to post Job Ads and to bind the organisation You represent to these Terms. 12.2 You agree to indemnify and hold Us harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with any breach by You of these Terms, any claim that Your User Content infringes any third party's rights, or any claim arising from Your hiring practices or use of the Site. 13. Data Protection and Privacy 13.1 We process Personal Data in accordance with the UK GDPR and the Data Protection Act 2018. Full details are set out in Our Privacy Policy, available on the Site. 13.2 Where You receive Candidate Personal Data through the Site (including through applications, CVs, and messages), You acknowledge that You are an independent data controller in respect of that data and are solely responsible for Your own compliance with applicable data protection law, including ensuring that You have a lawful basis for processing, providing appropriate privacy notices, and implementing adequate security measures. 13.3 You must not use Candidate Personal Data for any purpose other than the recruitment purpose for which it was provided. You must not sell, share, or disclose Candidate Personal Data to any third party except as necessary for the recruitment process and in compliance with applicable data protection law. 13.4 Where the cross-border transfer of Personal Data is regulated by applicable law, You warrant that You will not cause or permit any transfer of Personal Data from the Site that violates applicable data protection law. 13.5 By accessing or using the Site, You represent that You have read and understand Our Privacy Policy and Cookie Policy. 14. Intellectual Property 14.1 All content on the Site, including text, graphics, logos, icons, software, and design, is owned by Us or Our licensors and is protected by copyright, trademark, and other intellectual property laws. 14.2 You retain ownership of Your User Content. However, by posting content on the Site, You grant Us a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, display, and distribute that content for the purposes described in these Terms, including displaying it on the Site and sharing it with Candidates and any third party. 14.3 You must not reproduce, distribute, modify, or create derivative works from any content on the Site without Our prior written consent. 15. Payments and Termination 15.1 Payments. You agree to pay for all services purchased through Your account in accordance with the payment terms specified at the time of purchase. All fees are exclusive of VAT unless stated otherwise. 15.2 Termination by You. You may terminate Your use of the Site at any time by closing Your account. To request account closure, please contact Us using the details in clause 17. 15.3 Termination by Us. We may terminate or suspend Your access to the Site, or terminate any agreement with You, at any time and for any reason at Our sole discretion, including if You breach these Terms. 15.4 Effect of Termination. Upon termination, Your right to use the Site will cease immediately. Any outstanding payment obligations shall survive termination. Clauses that by their nature should survive termination (including but not limited to clauses 8, 9, 11, 12, 13, and 14) shall continue in full force and effect. 16. Site Availability and Modifications 16.1 We do not guarantee that the Site will be available at all times or that it will be free from errors, viruses, or other harmful components. 16.2 We reserve the right to modify, suspend, or discontinue any part of the Site at any time and without notice or liability to You. 16.3 We may update, change, or replace any part of these Terms by posting amendments on the Site. 17. General Provisions 18.1 Entire Agreement. These Terms, together with Our Privacy Policy and any applicable service-specific terms, constitute the entire agreement between You and Us in relation to Your use of the Site as an Employer and supersede all prior agreements, representations, and understandings. 18.2 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions. 18.3 Waiver. No failure or delay by Us in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any further exercise. 18.4 Assignment. We may assign or transfer Our rights and obligations under these Terms without Your consent. You may not assign or transfer Your rights or obligations without Our prior written consent. 18.5 Third-Party Rights. These Terms do not confer any rights on any person or party (other than the parties to these Terms) pursuant to the Contracts (Rights of Third Parties) Act 1999. 18.6 Governing Law. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. 18.7 Jurisdiction. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

Candidate Terms and Conditions of Use

By registering an account, uploading your CV, or applying for any job advertised on the Site, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must not use the Site. 1. Definitions and Interpretation In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings: 1.1 "We", "Us", "Our" means events-jobs.co.uk and its operators. 1.2 "You", "Your" means any individual who registers an account on the Site, uploads a CV, or applies for a job through the Site (a "Candidate"). 1.3 "Site" means the website located at events-jobs.co.uk and all associated pages, features, and services. 1.4 "Employer" means any individual, company, or organisation that advertises a job vacancy on the Site. 1.5 "Recruitment Partner" means the third-party recruitment agency or consultant appointed by Us with whom We may share Your information in accordance with these Terms. 1.6 "CV" means any curriculum vitae, resume, cover letter, portfolio, or other application materials uploaded by You to the Site. 1.7 "Job Listing" means any job vacancy, advertisement, or opportunity posted on the Site by an Employer or the Recruitment Partner. 2. Acceptance of Terms 2.1 By accessing or using the Site in any capacity, including browsing Job Listings, creating an account, uploading Your CV, or submitting an application for any advertised role, You confirm that You have read, understood, and agree to be bound by these Terms and Conditions. 2.2 We reserve the right to update or amend these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Site following any such changes constitutes Your acceptance of the revised Terms. 2.3 If You do not agree to any amendment, You must stop using the Site immediately and, if applicable, request deletion of Your account. 3. Description of Services 3.1 The Site operates as an online jobs board connecting Candidates with Employers and Our Recruitment Partner in the events industry and related sectors. 3.2 Our services include, but are not limited to: (a) publishing Job Listings submitted by Employers and the Recruitment Partner; (b) enabling Candidates to search and browse Job Listings; (c) enabling Candidates to apply for Job Listings directly through the Site; (d) allowing Candidates to upload and store CVs on the Site; and (e) facilitating introductions between Candidates and the Recruitment Partner. 3.3 We act solely as an intermediary platform. We do not act as an employment agency, employment business, or recruitment agency, and We do not provide any guarantees regarding the availability, suitability, or legitimacy of any Job Listing. 4. Registration and Your Account 4.1 To apply for jobs or upload a CV, You may be required to create an account on the Site. You must provide accurate, current, and complete information during registration and keep Your account details up to date. 4.2 You are responsible for maintaining the confidentiality of Your login credentials and for all activity that occurs under Your account. You must notify Us immediately if You become aware of any unauthorised use of Your account. 4.3 We reserve the right to suspend or terminate Your account at any time and without prior notice if We reasonably believe that You have breached these Terms or are using the Site in a manner that is fraudulent, misleading, or otherwise inappropriate. 4.4 You must be at least 18 years of age to register an account on the Site. 5. Usage Limits 5.1 To maintain the quality of the Site and to reduce fraud and spam, We may, in Our sole discretion, impose limits on Your use of the Site. This may include, following notice on the Site, limiting the number of job applications You may submit through the Site in any given day or other period. 5.2 You acknowledge that We may require You to verify Your email address or telephone number before You are permitted to use certain features of the Site or to apply for Job Listings. 5.3 The use of any automation, scripting, bots, or other automated tools to submit applications or otherwise interact with the Site is strictly prohibited, unless such tools are expressly provided or authorised by Us. 5.4 Any breach of the restrictions in this clause may result in the immediate suspension or termination of Your account in accordance with clause 16. 6. Job Listing Discretion 6.1 You understand and agree that We are under no obligation to screen, review, or verify any Job Listing, or to include any Job Listing in search results or other listings on the Site. 6.2 We reserve the right to exclude, remove, or de-list any Job Listing from the Site or from Your search results at any time, at Our sole discretion, without any obligation to provide reasons for such removal or exclusion. 7. CV Upload, Storage, and Sharing with Our Recruitment Partner 7.1 By uploading Your CV to the Site, whether as part of a job application or as a standalone upload, You expressly agree and consent to Us sharing Your CV and the personal information contained within it with Our Recruitment Partner. 7.2 Our Recruitment Partner may use Your CV and personal information to: (a) contact You about job opportunities that may be relevant to Your skills, experience, or expressed preferences;< (b) assess Your suitability for roles it is recruiting for, whether or not those roles are advertised on the Site; and (c) retain Your CV on its own systems for a reasonable period for future recruitment purposes. 7.3 By applying for any job advertised on the Site, You also expressly consent to Your application materials (including Your CV, cover letter, and any other information You submit) being shared with the relevant Employer and with Our Recruitment Partner, who may approach You about similar or related roles. 7.4 You acknowledge that once Your CV or personal information has been shared with the Recruitment Partner or an Employer, that party's own privacy policy and data handling practices will apply to their use of Your information. We are not responsible for the data handling practices of any third party. 7.5 If You do not wish Your CV to be shared with the Recruitment Partner, You must not upload Your CV to the Site or apply for any jobs through the Site. Your use of these features constitutes Your ongoing consent to such sharing. 7.6 You may withdraw Your consent to future sharing at any time by contacting Us to request deletion of Your CV and account. However, withdrawal of consent does not affect the lawfulness of any sharing that took place before Your request, and We cannot retrieve information already provided to third parties. 8. Job Applications and the Recruitment Process 8.1 The Site provides a platform for You to discover and apply for Job Listings. We do not have any involvement in, control over, or influence upon the recruitment, selection, interviewing, hiring, or rejection process conducted by any Employer or the Recruitment Partner. 8.2 All decisions regarding whether to shortlist, interview, offer employment to, or reject any Candidate are made entirely and exclusively by the relevant Employer or the Recruitment Partner at their sole discretion. We have no input whatsoever into whether You are recruited, engaged, or offered any position. 8.3 We do not vet, endorse, verify, or guarantee the accuracy or completeness of any Job Listing, including but not limited to the job description, salary, benefits, working conditions, employment terms, or any other information provided by an Employer. 8.4 We do not guarantee that: (a) any application You submit will be received, reviewed, or acknowledged by an Employer or the Recruitment Partner; (b) You will receive any response to any application; (c) any Job Listing is genuine, current, or still available; (d) the information contained in any Job Listing is accurate or complete; or (e) use of the Site will result in You obtaining employment or any engagement of any kind. 8.5 You are solely responsible for verifying the legitimacy and suitability of any Job Listing and any Employer before submitting an application or accepting any offer of employment. 9. Company Pages 9.1 The Site may display publicly available information about Employers on dedicated company pages ("Company Pages"). Information on Company Pages is presented for informational and promotional purposes only, is subject to change, and may be gathered from or generated by third-party sources. 9.2 We do not warrant the accuracy, completeness, or currency of any information displayed on Company Pages. You should contact the relevant Employer directly for the most accurate and up-to-date company information. 9.3 The inclusion of a Company Page on the Site does not constitute an endorsement, recommendation, or verification of the relevant Employer by Us. 10. Limitation of Liability 10.1 To the fullest extent permitted by law, We accept no liability whatsoever for any loss, damage, cost, expense, or claim (whether direct, indirect, consequential, special, or otherwise) arising out of or in connection with: (a) any application You make through the Site or any consequences arising from such application; (b) any decision by an Employer or the Recruitment Partner to reject, ignore, or otherwise not progress Your application; (c) any failure by an Employer or the Recruitment Partner to respond to Your application; (d) any loss of earnings, loss of opportunity, or loss of prospective employment arising from Your use of the Site; (e) any reliance You place on information contained in any Job Listing; (f) any inaccuracy, error, or omission in any Job Listing or Employer information; (g) any dispute between You and any Employer or the Recruitment Partner, whether arising before, during, or after any recruitment process; (h) any acts, omissions, conduct, or representations of any Employer or the Recruitment Partner; (i) any use or misuse of Your CV or personal information by an Employer or the Recruitment Partner once it has been shared in accordance with these Terms; (j) any interruption, suspension, or discontinuation of the Site or any of its features; or (k) any unauthorised access to or alteration of Your account, data, or transmissions. 10.2 Nothing in these Terms shall exclude or limit Our liability for death or personal injury caused by Our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law. 10.3 Our total aggregate liability to You under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed one hundred pounds sterling (£100). 10.4 You acknowledge and agree that the limitations and exclusions of liability set out in this clause are reasonable given that the Site is provided to Candidates free of charge. 11. Your Obligations and Warranties 11.1 You warrant and represent that: (a) all information You provide to Us, including in Your CV and any application, is accurate, truthful, and not misleading; (b) Your CV does not contain any material that is defamatory, obscene, offensive, or in breach of any third party's intellectual property rights or rights of confidentiality; (c) You have the right to work in the United Kingdom (or in the jurisdiction specified in any Job Listing You apply for) and hold all necessary permissions and documentation; (d) You will use the Site solely for the purpose of seeking genuine employment opportunities; and (e) You will not use the Site to harvest data, distribute unsolicited communications, or for any unlawful purpose. 11.2 You agree, as a condition of using the Site, that You will not use the Site, in whole or in part, as a substitute for Your own independent judgment or decision-making. You are solely responsible for Your account, Your use of the Site and any tools offered on it, and Your decisions regarding Your job search, applications, and other employment-related actions. 11.3 We are not responsible for, and disclaim all liability in respect of, any actions taken or not taken by You based in whole or in part on any information You submit or receive in connection with Your use of the Site. 11.4 You agree to indemnify and hold Us harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with any breach by You of these Terms or any of the warranties set out above. 12. Intellectual Property 12.1 All content on the Site, including but not limited to text, graphics, logos, icons, software, and design, is owned by Us or Our licensors and is protected by copyright, trademark, and other intellectual property laws. 12.2 You retain ownership of Your CV and any materials You upload. However, by uploading content to the Site, You grant Us a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, and share that content for the purposes described in these Terms, including sharing with Employers and the Recruitment Partner. 12.3 You must not reproduce, distribute, modify, or create derivative works from any content on the Site without Our prior written consent. 13. Data Protection and Privacy 13.1 We process Your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how We collect, use, store, and share Your personal data are set out in Our Privacy Policy, which is available on the Site. 13.2 The lawful basis for processing Your personal data in connection with these Terms includes: (a) contract performance — processing that is necessary to provide You with the services described in these Terms; (b) consent — where You have given explicit consent, including to the sharing of Your CV with the Recruitment Partner as described in clause 7; and (c) legitimate interests — where processing is necessary for Our legitimate interests in operating and improving the Site, provided those interests are not overridden by Your rights. 13.3 You have the right to access, rectify, erase, restrict processing of, and port Your personal data, as well as the right to object to processing and to withdraw consent, in each case subject to applicable law. To exercise any of these rights, please contact Us using the details set out in clause 17. 13.4 We will retain Your personal data (including Your CV) for as long as Your account remains active or as necessary to provide You with Our services. If Your account is inactive for a period of 24 months, We may delete Your account and associated data. 14. Third-Party Links and Services 14.1 The Site may contain links to third-party websites, services, or resources. These links are provided for Your convenience only and do not imply endorsement by Us. 14.2 We have no control over and accept no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party sites is at Your own risk. 15. Site Availability and Modifications 15.1 We do not guarantee that the Site will be available at all times or that it will be free from errors, viruses, or other harmful components. 15.2 We reserve the right to modify, suspend, or discontinue any part of the Site (including the removal of Job Listings) at any time and without notice or liability to You. 15.3 We may update, change, or replace any part of these Terms by posting amendments on the Site. 16. Termination 16.1 You may terminate Your use of the Site at any time by closing Your account. To request account deletion and removal of Your CV, please contact Us using the details in clause 17. 16.2 We may terminate or suspend Your access to the Site immediately, without prior notice or liability, for any reason, including if You breach these Terms. 16.3 Upon termination, Your right to use the Site will cease immediately. Clauses that by their nature should survive termination (including but not limited to clauses 7.4, 7.6, 10, 11.4, 12, and 13) shall continue in full force and effect. 17. General Provisions 18.1 Entire Agreement. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions. 18.3 Waiver. No failure or delay by Us in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any further exercise. 18.4 Assignment. We may assign or transfer Our rights and obligations under these Terms without Your consent. You may not assign or transfer Your rights or obligations without Our prior written consent. 18.5 Third-Party Rights.
